Terms of Use, Liability Disclaimer & Confidentiality Agreement

By creating an account and using Donna OS ("the Product"), operated by BAL Analytics LLC ("the Company"), you acknowledge and agree to the following terms.

1. Liability Disclaimer

  1. Donna OS provides AI-generated training recommendations and is not a substitute for professional medical advice, diagnosis, or treatment.
  2. You are solely responsible for any injuries, health complications, or physical harm that may result from following these recommendations. This includes but is not limited to muscle strains, ligament and tendon injuries, joint injuries, spinal injuries, and cardiovascular events.
  3. You will consult a qualified healthcare provider before starting any exercise program, especially if you have pre-existing conditions, injuries, or health concerns.
  4. Weight training carries inherent risks. Exercise selection, load recommendations, and volume prescriptions generated by Donna OS are based on algorithmic calculations and may not account for your specific physical limitations or medical history.
  5. You confirm that you are physically fit to engage in exercise or have received medical clearance to do so.
  6. THE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. The Company is not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Product, regardless of the theory of liability.

2. Confidentiality & Non-Disclosure

Donna OS is currently in a pre-release beta. By accessing the Product, you agree to the following confidentiality obligations:

  1. Confidential Information. All non-public information you encounter through the Product is confidential. This includes the Product's features, functionality, user interface, AI algorithms, training methodologies, performance data, business plans, and any bug reports or feedback you provide.
  2. Non-Disclosure. You will not disclose, publish, or share any Confidential Information with any third party. You will not post screenshots, recordings, descriptions of features, or any other representation of the Product on social media, forums, blogs, or any public or semi-public platform without the Company's prior written consent.
  3. Permitted Use. You may use the Product solely for your personal training and to provide feedback to the Company. You will not use Confidential Information for any other purpose.
  4. Exceptions. These obligations do not apply to information that (a) becomes publicly available through no fault of yours, (b) you independently developed without reference to Confidential Information, or (c) you are required to disclose by law, provided you give the Company prompt written notice.
  5. Duration. Your confidentiality obligations survive for three (3) years after your access to the Product ends.

3. Intellectual Property

  1. The Product, including all source code, algorithms, AI models, designs, and documentation, is the sole property of BAL Analytics LLC. Nothing in these terms grants you any ownership interest.
  2. Any feedback, suggestions, or bug reports you provide become the property of the Company. The Company may use, modify, and incorporate such feedback without restriction or compensation.
  3. You will not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying logic of the Product.

4. Data Collection & Privacy

  1. The Company may collect usage data, performance metrics, and error logs for the purpose of improving the Product.
  2. No personally identifiable health data will be shared with or sold to third parties.

5. General

  1. The Company may revoke your access at any time, for any reason.
  2. Upon termination of your access, you will delete any locally cached data from the Product.
  3. A breach of the confidentiality or intellectual property provisions may cause irreparable harm. The Company is entitled to seek injunctive relief in addition to any other remedies available at law.
  4. If any provision is held invalid, the remaining provisions continue in full force.
  5. These terms are governed by the laws of the State of West Virginia.
